General Terms and Conditions of SF-Filtres AG, hereinafter referred to as "SF-Filter".

Territorial scope, general

The following "General Terms and Conditions" apply exclusively to all our offers, sales and services in Switzerland and the Principality of Liechtenstein. They form an integral part of the contractual relationship. Deviating or supplementary conditions will only be recognised if they have been expressly agreed in writing.

Offer

Offers, illustrations and information on materials and dimensions in brochures and catalogues are non-binding. Quotations without a period of validity are non-binding. If a period of validity is mentioned in an offer, the offer is only valid if the order is received by us before the expiry of this period.

Orders / delivery times

All oral and written orders are deemed to have been accepted once they have been delivered or confirmed by "SF-Filter". "SF-Filter" is entitled to make partial deliveries at any time, depending on the availability of the goods. Claims for cancellation of orders and damages due to late delivery or non-delivery cannot be accepted.

Prices

Unless otherwise agreed, the prices in force on the day the order is placed shall apply. "SF-Filter expressly reserves the right to adjust prices at any time. All prices are net prices plus value added tax, packaging, transport and cash on delivery costs. Any additional costs resulting from special requests will be charged to the purchaser.

For orders below the minimum value of €50, we charge a small quantity supplement, in addition to VAT.

Shipping

Delivery is made from Bachenbülach. For all deliveries, the transport risk is borne by the customer. Benefit and risk are transferred to the purchaser at the latest when the delivery leaves our warehouse. The same applies to partial deliveries. SFFilter" may refuse to make deliveries in the event of outstanding claims against the Customer.

Shipments of models, samples or test shipments

Shipments of models, samples and test shipments are basically charged. Exceptions to the application of this provision are made in special agreements. If goods are returned within 2 months, a credit note will be issued, the amount of which will depend on the condition of the goods returned.

Payment

Our invoices are payable net within 30 days of the invoice date, without any deduction. Exceptions to this are special agreements made in writing. For installations costing CHF 30,000 or more net, the general delivery terms of the ASM (Association patronale suisse de l'industrie des machines) shall apply: a deposit of one third within one month of receipt of the order confirmation by the purchaser - one third on expiry of two thirds of the delivery period - the balance within one month of the supplier's notification that he is ready to deliver. Any deviating terms of payment require the express written consent of "SF-Filter". All products delivered remain the property of "SF-Filter" until payment has been made in full. Withholding, offsetting or reduction of payments due to complaints, delayed delivery or counterclaims not recognised by us are not permitted.

Claims for manufacturing defects

Complaints about manufacturing defects, or any other complaint by the purchaser, must be made to the supplier immediately, and in any event no later than 8 days after receipt of the goods.

Warranty

The warranty period is 12 months after the supplier has indicated that he is ready to deliver. The warranty obligation shall lapse in the event of damage resulting from failure to carry out maintenance and inspection work or to do so, or in the event of defects attributable to improper storage, failure to observe the operating instructions, improper handling, excessive stress, inadequate maintenance, natural corrosion and/or other reasons. SF-Filter cannot be held liable for indirect damage of any kind whatsoever. Mobile filtration: "SF-Filter" guarantees the quality of all the filters it supplies and accepts liability within the framework of the legal provisions applicable to motor damage insofar as the sole cause of the defect is indisputably located in a filter supplied by "SF-Filter". The warranty shall expire prematurely if the purchaser or a third party undertakes repair work on the goods without the prior written approval of "SFFilter". Defects shall be rectified at the discretion of "SF-Filter" by subsequent improvement or replacement delivery. Except in cases where "SF-Filter" authorises the purchaser or a third party to carry out the repair, the supplier is not obliged to bear the costs of assembly and disassembly. Any liability on the part of the supplier is excluded in the event that the purchaser or a third party fails to comply with the instructions or guidelines issued by "SF-Filter". Any damage must be reported within 24 hours and/or the filter complained of, including replaced spare parts, must be made available for inspection within 8 days. Industrial filtration: For industrial filters, machines and installations, the guarantee clauses of the ASM (Association patronale suisse de l'industrie des machines) apply.

Return of goods

The purchaser has no right to the return of goods that we have supplied in good time. The return of goods requires our express consent. Only goods and packaging in perfect condition will be taken back. A handling and restocking fee will be charged for all returns.

Place of performance, place of jurisdiction and applicable law

The place of performance and place of jurisdiction for both partners is Bülach. SF-Filter reserves the right to assert claims before any other competent court. Swiss law shall apply. The German-language version of the VCD is authoritative.
